These Terms govern your purchase and use of the Charging Order Protection Entity (COPE) Structure templates, agreements, annotations, and related materials (the “Materials”) sold by Stratford Financial Solutions, Inc. (“Stratford,” “we,” “us”).

By completing your purchase, you agree to these Terms. If you do not agree, do not purchase.

WHAT YOU ARE BUYING
You are buying a license to use the Materials. You are not buying the Materials themselves, and you acquire no ownership interest in them.

The Materials are original work of authorship owned by Stratford and protected under the Copyright Act of 1976, 17 U.S.C. § 101 et seq. Copyright covers the drafting, provisions, annotations, drafting notes, commentary, organization, sequence, and arrangement of the Materials.

Statutes, regulations, and judicial opinions quoted or cited in the Materials are in the public domain. The selection, arrangement, analysis, and original expression are ours.

All rights not expressly granted are reserved.

WHAT YOU MAY DO

Individual purchasers. You may prepare, adapt, and execute documents from the Materials for your own entities and your own matters.

Licensed professionals. If you are an attorney, certified public accountant, enrolled agent, or other licensed professional, you may prepare and adapt documents from the Materials for your own clients in the course of your practice. You remain responsible for the professional judgment applied to each engagement.

Adaptation. You may modify, delete, supplement, and adapt the Materials to fit the facts, jurisdiction, and objectives of a particular matter. Adapting a document does not give you rights in the underlying template and does not diminish our copyright.

Delivery and filing. You may deliver instruments you prepare to the client or entity for whom they were prepared, file them with any court, secretary of state, taxing authority, or financial institution, and keep copies in your files.

Concepts. You may use the legal concepts, statutory authorities, and structural approaches reflected in the Materials in your own independently drafted work.

One license, one purchaser. The license runs to you individually, or if purchased by a firm, to that firm’s professionals and staff working on that firm’s own matters. It does not extend to any affiliated, related, or successor firm not named in the purchase. The license is non-exclusive, non-transferable, and revocable.
WHAT YOU MAY NOT DO

You may not, directly or through anyone else:

Sell, resell, license, sublicense, rent, lend, distribute, publish, post, or transmit the Materials to any person except as Section 2 permits, whether or not for payment, and whether in original, modified, or derivative form.

Represent, directly or by implication, that you or anyone else authored or originated the Materials, or offer the Materials or any substantially similar work under your own name, brand, or imprint.

Remove, obscure, or alter any copyright notice, attribution, watermark, or proprietary legend. Drafting notes and completion tables marked for deletion may be removed from an executed instrument prepared for a specific matter.

Incorporate the Materials, in whole or substantial part, into any form book, template library, document assembly system, software, subscription service, course, or other product offered to any person.

Use the Materials as course, seminar, workshop, webinar, coaching, or training content, or distribute the Materials to attendees of any such program, without our prior written authorization. You remain free to teach the underlying legal concepts using your own original materials.

Provide the Materials to any artificial intelligence system, machine learning model, or data set for training, fine-tuning, or generating derivative or substantially similar documents for distribution to others.

Use the Materials as the document set for an entity formation, registered agent, or document preparation service offered to the general public. A separate written volume license is available for that use.
NOT LEGAL ADVICE

The Materials are templates provided for informational purposes. They are not legal, tax, or accounting advice.

No attorney-client relationship is created by your purchase, download, or use of the Materials.

The Materials were not prepared with reference to your circumstances or those of any client.

Review by an attorney licensed in the applicable jurisdiction is required before you execute or file any instrument prepared from the Materials.

Charging order protection is not uniform and is not absolute. State law differs on whether the charging order is a creditor’s exclusive remedy and whether a court may order foreclosure of the charged interest. Single-member entities frequently receive weaker protection than multi-member entities, or none. Courts have disregarded these structures where the entity lacked a business purpose, formalities were ignored, or funding occurred in response to an existing claim. See Olmstead v. FTC, 44 So. 3d 76 (Fla. 2010); In re Albright, 291 B.R. 538 (Bankr. D. Colo. 2003).

Transferring assets into any entity to hinder, delay, or defraud a creditor is voidable under the Uniform Voidable Transactions Act as adopted in most states and may carry criminal exposure. The Materials are intended for prospective planning before a claim exists or is reasonably foreseeable. They are not a remedy for a pending or threatened claim, judgment, audit, or bankruptcy.

Formation and funding may trigger federal and state tax consequences and reporting obligations. Consult a qualified tax professional before implementation.
NO WARRANTY

The Materials are provided “as is,” without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, completeness, currency of law, or fitness for filing with any governmental office.
LIMITATION OF LIABILITY

To the maximum extent permitted by law, Stratford and its principals, officers, employees, and agents are not liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising from your use of or inability to use the Materials, including lost profits, rejected filings, adverse tax consequences, or adverse determinations by any court or agency. Your sole and exclusive remedy is limited to the amount you paid.
ENFORCEMENT

Irreparable harm. You acknowledge that a breach of Section 3 would cause irreparable harm for which money damages would be inadequate, and you consent to injunctive relief without the necessity of posting bond, in addition to all other remedies.

Statutory remedies. We reserve all remedies under the Copyright Act, including statutory damages and attorneys’ fees under 17 U.S.C. §§ 504 and 505 where the Materials are registered, and all remedies at law and in equity for breach of these Terms.

Termination. Your license terminates automatically if you breach Section 3. On termination you must stop using the Materials and destroy all copies. Instruments already executed for a specific matter may be retained and remain effective.

Attorneys’ fees. In any proceeding to enforce these Terms, the prevailing party recovers its reasonable attorneys’ fees and costs.

Watermarking. Delivered files are watermarked with a purchaser identifier and copy number. You agree not to remove or alter that identifier.
REFUNDS

Because the Materials are delivered digitally and cannot be returned, all sales are final once the download link is issued.
CHANGES TO THESE TERMS

We may revise these Terms at any time. Revisions apply only to purchases made after the effective date of the revision. The version in effect at the time of your purchase governs your license, and a copy of that version is provided with your delivery.
GENERAL

Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflicts of law principles, except that copyright claims are governed by federal law.

Jurisdiction and venue. You consent to the jurisdiction of the state and federal courts located in Gregg County, Texas, and the United States District Court for the Eastern District of Texas, and waive any objection to venue in those courts.

Entire agreement. These Terms are the entire agreement between you and Stratford regarding the Materials and supersede all prior representations, oral or written.

Severability. If any provision is held invalid or unenforceable, the rest continues in force, and the invalid provision is reformed to the minimum extent necessary to make it enforceable.

No waiver. Our failure or delay in enforcing any provision is not a waiver of that or any other provision.

Assignment. You may not assign these Terms or your license, by operation of law or otherwise, without our prior written consent.

Authority. If you accept these Terms on behalf of a firm or entity, you represent that you are authorized to bind it, and it is jointly and severally liable with you for compliance.

Survival. Sections 1, 3, 4, 5, 6, 7, and 10 survive termination of your license, completion of any matter for which the Materials are used, and any transfer or discontinuation of your practice or business.
